Toad Stream LLC Affiliate Program Terms and Conditions

1. Introduction Welcome to the Toad Stream LLC Affiliate Program. By signing up as an affiliate, you agree to comply with and be bound by the following terms and conditions.

2. Eligibility To participate in the Toad Stream LLC Affiliate Program, you must be at least 18 years old and have a valid PayPal account for receiving commissions. You must also provide a valid IRS form W-9.

3. Affiliate Registration To become an affiliate, you must complete the registration form on our website. We reserve the right to accept or reject any application at our sole discretion.

4. Commission Structure Affiliates are eligible to earn a 5% commission on the total price of video packages purchased by referred customers. Commissions are calculated based on the final sale price, excluding taxes and any discounts. Commissions apply to the price of the package, and do not include upgrades or add-ons, such as additional equipment rental, travel, actors, or music licensing.

5. Payment of Commissions Commissions will be paid out after the referred customer has paid for and received the completed video production package. Payments will be made via PayPal.

6. Project Selection Toad Stream LLC reserves the right to accept or reject any project at any time for any reason.

7. Affiliate Responsibilities

Affiliates must use ethical marketing practices and comply with all applicable laws and regulations.
Affiliates are prohibited from using spam, misleading advertising, or any other deceptive practices to generate leads.
Affiliates must not make any false claims about Toad Stream LLC or its services.

8. Termination Toad Stream LLC reserves the right to terminate any affiliate account at any time for any reason, including but not limited to violation of these terms and conditions.

10. Limitation of Liability Toad Stream LLC will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the affiliate program.

11. Indemnification As an Affiliate, you agree to indemnify, defend, and hold harmless Toad Stream LLC, its affiliates, officers, directors, employees, agents, and representatives (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

a) The Affiliate’s breach of any term, condition, representation, or warranty in this Agreement;
b) The Affiliate’s use of any content, services, or deliverables provided by Toad Stream LLC in a manner not authorized by this Agreement or applicable law;
c) Any third-party claims related to content provided by the Affiliate, including but not limited to claims of infringement, defamation, or violation of privacy rights;
d) The Affiliate’s negligence, misconduct, or violation of any law or regulation in connection with this Agreement.

12. Governing Law These terms and conditions are governed by and construed in accordance with the laws of San Diego, California.
